Terms of Service

Scope of Work

4KS Studio will deliver the web design services described in the project invoice. Any work beyond that scope requires a written change order before 4KS Studio proceeds.

Payment Terms

A non-refundable deposit of 50% is due before work begins. The remaining 50% is due upon project completion, before launch. Files and site access are withheld until all amounts are paid in full. Late payments accrue a fee of 1.5% per month.

Revisions

Two (2) rounds of revisions are included per phase. Additional revisions are billed at $80/hr. A "round" is one consolidated list of feedback submitted at one time. Significant scope changes are handled as change orders, not revisions.

Project Timeline

Timelines are estimates contingent on timely client participation. If the client fails to provide content, approvals, or feedback within 10 business days of a request, the timeline adjusts accordingly. Projects dormant for 30+ days due to client inaction are subject to a 15% restart fee.

Cancellation

• —Cancelling before work begins: deposit forfeited, nothing more owed.
• —Cancelling during design: deposit forfeited, nothing more owed.
• —Cancelling during development: deposit + 25% of remaining balance.
• —Cancelling after development is complete: full project balance is due.

Intellectual Property

Ownership of all custom work transfers to the client upon receipt of final payment in full. Until then, 4KS Studio retains all rights. Third-party components (stock images, plugins, fonts) are licensed, not owned.

Liability

4KS Studio's total liability is capped at the total fees paid. 4KS Studio is not liable for lost profits, lost data, search ranking changes, or consequential damages. 4KS Studio is not liable for issues with third-party platforms or hosting providers.

Warranties

4KS Studio does not guarantee specific business outcomes, traffic levels, or search engine rankings. The client warrants that all content and materials provided are owned by the client or properly licensed.

Custom Development Only

4KS Studio builds exclusively with custom code. We do not use, nor will we build on, website builders or template-based platforms including but not limited to WordPress, Wix, Squarespace, Webflow, Shopify, GoDaddy Website Builder, or similar tools. Every website we deliver is built from scratch and fully owned by the client. We will not fulfill requests to work within or migrate to any of the above platforms.

Governing Law

This Agreement is governed by the laws of the State of South Carolina. Any disputes shall be resolved in Lexington County, SC. The prevailing party is entitled to recover attorney's fees.
